European law firm Fieldfisher advised AIM-quoted life sciences company Tristel plc on its recent purchase of Belgium-headquartered distribution business, Ecomed Group.
Tristel, which manufactures infection control products for hospitals, veterinary practices and cleanrooms, agreed to pay up to €6.8 million (£7.6 million) in a combination of cash and shares for privately-held Ecomed.
Ecomed is the exclusive distributor of Tristel products in the Benelux region and France.
Successful execution of the deal, which closed on 19 November 2018, involved the co-ordination of advice across four jurisdictions (England, Belgium, France and the Netherlands), accommodating variances in market practice within each jurisdiction.
The deal also had to be structured to take account of the implications of potential future Brexit scenarios.
A team of lawyers across Fieldfisher's London, Brussels, Paris and Amsterdam offices advised on the deal, led by partner Jonathan Brooks and solicitor Natasha Scanes, both based in the firm's London office.
