Natasha Scanes, Associate, Corporate, Fieldfisher

I'm an Associate in Fieldfisher's corporate department, based in the firm's London office.

I work with clients in the UK and overseas including public and private companies, directors, shareholders, and investors.  I have a particular interest in and experience of both UK based and cross border M&A transactions, venture capital, private fundraisings, and corporate governance matters.

I always strive to find commercial and pragmatic solutions for clients, providing real value rather than just creating a paper trail. My experience of advising US clients acquiring companies in the UK means I have a thorough understanding of the differences in market practice and am well placed to advise accordingly.

My experience of the technology sector has involved me working with clients on exciting and cutting edge projects, including recently advising an AI cryptocurrency company on the potential impact and structuring of an initial coin offering.

Recent matters I have worked on include:

  • Advising a challenger bank on its equity fundraising alongside ongoing corporate governance and minority shareholder issues, in line with its FCA/PRA regulatory capital requirements
  • Advising a Netherlands based water technology company on its Series D funding round from a range of investors worldwide
  • Advising various clients on both the implementation and impact of warrants, including the creation of a synthetic warrant over an LLP for the right to payment upon certain liquidity events
  • Advising software companies in the M&A space, including a global provider of software and data analytics to the real estate industry with offices in North America, Europe and Asia on its acquisition of a London-based property management company operating in Europe and Australia, and the shareholders of a voice technology company on the sale of the entire issued share capital of their company

I am always interested in meeting new people from all sectors and jurisdictions to explore ways in which we can work together.

In my spare time you can find me outdoors, abroad, cooking, or engrossed in a good book.
