Bill for the digital incorporation of Dutch private companies with limited liability adopted by House of Representatives

The new legislation enables EU residents to digitally incorporate a Dutch private company with limited liability through a digital notarial deed, removing the need for in person incorporation.

The House of Representatives of the Netherlands has adopted a key bill for the digital incorporation of a Dutch private company with limited liability.

The bill is now heading towards the Senate. If the Senate also agrees, the law is expected to come into effect on 1 January 2024.

The purpose of the bill is to enable the online incorporation of a private company with limited liability (besloten vennootschap met beperkte aansprakelijkheid or B.V.), without the incorporator having to physically register with an authority, individual, or institution.

Appearing before a civil-law notary can be done through video conferencing instead of in person, unless there is suspicion of identity fraud or doubt about the legal capacity of the incorporator.

The bill was delayed multiple times but was ultimately approved by the House of Representatives on 1 June 2023. The legislation in question enables EU residents to digitally incorporate a private company with limited liability through a digital notarial deed.

This will be accomplished using digital identification and signing at the highest reliability levels.

The platform required for the digital incorporation of a private company with limited liability has been ready for use since the summer of 2021. Civil-law notaries gained access to the platform over a year ago for practice purposes.

According to the European directive to be implemented, the implementation should have taken place no later than 1 August 2022, following a one-year postponement.

De Tweede Kamer heeft het wetsvoorstel voor de digitale oprichting van een besloten vennootschap aangenomen.

De goedkeuring van het wetsvoorstel door de Tweede Kamer en de voortgang naar de Eerste Kamer markeren een belangrijke ontwikkeling in het digitaal kunnen oprichten van een besloten vennootschap. Indien ook de Eerste Kamer akkoord gaat, zal de wet naar verwachting per 1 januari 2024 in werking treden.

Het doel van dit wetsvoorstel is om het online oprichten van besloten vennootschappen mogelijk te maken, zonder dat de oprichters zich fysiek hoeven aan te melden bij een autoriteit, persoon of instantie. Het verschijnen voor de notaris kan plaatsvinden via een videoverbinding in plaats van persoonlijk, tenzij er vermoedens zijn van identiteitsfraude of twijfel bestaat over de handelingsbekwaamheid van de oprichter.

Na enkele vertragingen is het wetsvoorstel op 1 juni eindelijk door de Tweede Kamer goedgekeurd. Dit wetsvoorstel heeft betrekking op een wetgeving die EU-inwoners in staat stelt om digitaal een besloten vennootschap op te richten via een digitale notariële akte. De uitvoering hiervan wordt mogelijk gemaakt door geavanceerde digitale identificatie- en ondertekeningsmethoden op het hoogste betrouwbaarheidsniveau.

Het benodigde platform voor de digitale oprichting van een besloten vennootschap is al sinds de zomer van 2021 gereed voor gebruik. Notarissen kregen ruim een jaar geleden toegang tot dit platform om te kunnen oefenen en vertrouwd te raken met de nieuwe procedures.

Volgens de Europese richtlijn die moet worden geïmplementeerd, had de implementatie uiterlijk op 1 augustus 2022 moeten plaatsvinden, na een jaar uitstel.
