The ECOMMERCE ONE Group, founded in 2021, has acquired the e-commerce agency marmalade GmbH and Makaira GmbH, a developer and provider of an e-commerce marketing suite for online retail, from their founder Joscha Krug, thus continuing its continuous growth course in the e-commerce market. A Fieldfisher team led by Jan Hartmann and Leif Herzog provided the ECOMMERCE ONE Group with comprehensive legal advice on the acquisition.
The ECOMMERCE ONE Group is a platform of leading software companies for online retailers and unites industry giants such as Afterbuy, Baygraph, DreamRobot and Gambio under its umbrella.
The ECOMMERCE ONE Group is backed by the investor Oakley Capital, a private equity mid-market fund specialising in investments in medium-sized companies in the technology, consumer goods and education sectors.
With the acquisition of marmalade GmbH and Makaira GmbH, the ECOMMERCE ONE Group is systematically continuing its strategic growth:
- marmalade GmbH is one of the leading agencies for consulting, development and realisation of advertising design, software, marketing and related business areas and provides services in connection with the creation of e-commerce strategies.
- Makaira GmbH offers a platform for the creation of frontends for online shops. The e-commerce marketing suite is already being used by well-known brands such as Sport Conrad, Rotkäppchen-Mumm and Zweirad Stadler.
Fieldfisher provided comprehensive legal advice to the ECOMMERCE ONE Group on the transaction with a broad-based team, in particular with regard to legal due diligence, transaction documentation and the seller's re-investment.
