Maria Luisa has focused her activity in the areas of taxation, corporate law and M&A. Thanks to the advantages of her double training in law and business administration and management, she has mastered the advice to business groups and private clients in the financial, tax and corporate law fields (including corporate sales and purchases).
Her extensive experience in tax law as well as in corporate law and M&A, has allowed her to excel in corporate transactions, restructuring and family business, and in commercial transactions of a certain complexity (mergers and acquisitions, dissolution of companies, and family protocols and agreements).
She has extensive knowledge in matters involving a high tax and corporate commercial component, such as problems related to directors' remuneration; she also has an in-depth knowledge of statutory relations and shareholders' agreements.
Over the years, she has designed complex and specific warranties in company acquisitions and has become an expert in planning strategies to eliminate the existence of control in order to avoid consolidations in the client's interest.
She defines herself as a business lawyer with a complementary vision due to her business background and knowledge of taxation, which gives her great added value.
A large part of her professional career has been linked to the real estate sector, where she also stands out for his knowledge of the complexity of real estate registry law and indirect taxes related to this sector (VAT, ITP and AJD).
She has also collaborated with the financial department to reach transactions and agreements with financial institutions related to swaps and financial derivatives.
She is currently a member of the Steering Committee of the Master's Degree in Business Law at the ICAB, and is linked to the Commercial Law Section of the ICAB (where she was a member), and a member of the Spanish Association of Tax Advisors (AEDAF).
At Fieldfisher, in addition to the creation of the Tax and Corporate Departments, she has drafted the consecutive by-laws of the firm, and has provided support to different departments of the firm, including the Banking Litigation and M&A areas.
