Fieldfisher advises Fusion Capital on acquisition of lead-zinc mine in Macedonia

International law firm Fieldfisher has advised Fusion Capital on the cross-border acquisition of the SASA lead-zinc mine in Macedonia.

Fusion Capital partnered with the Orion Mine Finance Group to establish Lynx Resources for the acquisition of the mine from Solway Investment Group, the Russian-backed private equity investor, for an undisclosed sum. Fieldfisher advised Fusion Capital on the negotiation of its joint venture arrangements with Orion and certain commercial matters relating to the mine. The transaction involved parties in Switzerland and Bermuda as well as Macedonia.

The SASA mine, located in the Makedonska Kamenica Municipality of Macedonia, has a track record of stable and profitable performance. The Fusion Capital management team will work with Orion to maximise SASA's long mine-life, high-grade resource and competitive cash-cost position.

The Fieldfisher team was led by Jonathan Brooks, partner and Head of the Mining and Metals team, with support from Oliver Abel Smith, Brad Isaac, Paul Boone and Owain Davies.

Fieldfisher's Mining and Metals team, which sits within the firm's wider Energy and Natural Resources group, advises across the life cycle of a mine, from acquisition and expansion to disposal. The team has a comprehensive understanding and practical experience of the sector, the likely issues that mining companies face and the potential solutions. It advises on a wide variety of complex transactions, acting for mining companies with interests all over the world on the full range of commercial matters.
