Rafał Stroiński

I bring to the table a strong international legal foundation with solid academic credentials, having an LL.M. from Harvard Law School and a Ph.D. in Law from the Faculty of Law and Administration at the University of Warsaw. I was also a Fulbright and Polish Science Foundation postdoc scholar at Stanford Law School.

I have been consistently recognized by international legal directories such as Legal 500 and Chambers Europe as a leading private equity and corporate lawyer in Poland.

Before joining Fieldfisher, I was the owner and co-managing partner of a leading Polish mid-sized law firm, where I established and led the corporate/M&A, private equity, and venture capital practices. Prior to that, I spent over 12 formative years in leading international law firms, including as a partner, co-heading the corporate and private equity practice in Poland and advising on transactions across the CEE region.

In addition to my legal practice, I have a good track-record as a non-executive (Supervisory Board) member of commercial companies. I am also one of the founders and Board member of the Harvard Club of Poland.

Corporate & M&A | Private Equity | Corporate Advisory

I have over 30 years of experience advising buyers, sellers, and target companies, including major Polish, CEE, and international private equity firms, investment funds, entrepreneurs, management teams, financial sponsors, and institutional investors in a wide transactional setting, be it M&A transactions, joint ventures, leveraged buyouts, management buyouts/buy-ins, privatizations, as well as supporting the international expansion of EU businesses into non-EU jurisdictions.

I regularly work with US clients (including Silicon Valley based investors) on transactions involving Polish assets, in particular in the Tech, Life Sciences and Energy (energy storage) sectors. I also advise clients in the defence sector, including dual-use products.

Venture Capital

I have been involved in the growth of the venture capital market in the CEE region since its early days. In 2012, I authored a report on limits and perspectives of the venture capital market in Poland for the President of the Republic of Poland and later served (2016–2018) as a Supervisory Board member of PFR Ventures, the largest Polish fund-of-funds.

With the continued growth of the venture capital market in Poland and the region, I remain actively involved in advising on high-profile transactions. I also serve as a non-executive director at the US-Polish Trade Council (USPTC), a California-based nonprofit strengthening trade and scientific ties between Poland and Silicon Valley.

Equity Capital Markets

I established and led the capital markets practice in Poland at a leading international law firm. I advised on IPOs, SPOs, takeovers, and delistings of public companies.
