I have experience advising both buyers and sellers across a range of sectors including, but not limited to: retail, mining, oil & gas, manufacturing and telecommunications. I also have experience acting for issuers on both Main Market/AIM IPOs and secondary issues.
Recent work includes:
- Assisted a cross-practice team advising SigmaRoc plc on its agreement to acquire a European lime business (with operations across 16 sites in Europe) from CRH plc for US$1.1 billion and an associated c.£200 million fundraise
- Advising Kodal Minerals plc on the agreement of a major conditional funding package of US$117.75 million
- Advising a digital, high-value data and events business on the £21 million acquisition of an industry-specific events company
- Advising an electrical products and solutions business on the sale of one of its divisions, valued at US$198 million
- Advising a UK-based cloud consultancy on the £50 million sale of its subsidiary, a B2B cloud products reseller
- Assisting Haydale Graphene Industries plc on a secondary fundraise of £5 million

Takeover Code amendments for dual class shares, IPOs and share buybacks

The Takeover Panel’s Code Committee published a response statement (RS 2025/1) on 2 December 2025, outlining amendments to the Takeover Code concerning companies with dual class share structures (DCSS), initial public offerings (IPOs), and share buybacks. The changes will take effective on 4 February 2026.
