Corporate & M&A
I advise on a wide range of M&A transactions, both domestic and cross-border share/asset deals, with a strong focus on private equity and venture capital transactions. I manage due diligence processes and draft transaction documentation, including PSPAs, SPAs, and SHAs, as well as post-transaction documents. I have experience representing both sell-side and buy-side clients across various industry sectors, including manufacturing, services, IT, FMCG, HoReCa, medical, transport, and renewable energy.
Additionally, I have experience leading and advising on cross-border corporate reorganizations of international capital groups (ICRs) as well as advising on corporate restructurings in the local market. I also provide general corporate legal advice to both local and international commercial companies, assisting with company formation, liquidation procedures, and SPV purchases in cooperation with shelf company providers.
Commercial
I have extensive experience in drafting and negotiating various commercial agreements for local and international corporate clients across both B2B and B2C sectors. This includes cooperation agreements, framework agreements, and master service agreements (MSAs).
