I am a construction lawyer with over 8 years' industry experience developing and arranging the construction and operation and maintenance of international power generation projects, with a particular geographic focus on Africa.
I have particular expertise in drafting and negotiating engineering, procurement and construction contracts for international renewable energy and gas power generation plants and ensuring the optimal allocation of project risks for bankability.
I also have experience across other project and sponsor level agreements. I have been involved in both the acquisition and sale of equity interests in power plants and have advised on both leveraged and unleveraged transactions.
The industry experience I have gained working for developers and infrastructure investors, including SunPower Corporation (NASDAQ listed) and leading Africa focused developers has equipped me with a strong commercial and client focused approach to drafting and negotiating construction contracts, and more generally advising on project risks.
I have worked on many of the leading renewable (solar, wind, hydro, geothermal) and gas power generation projects in Europe and Africa.
When working for an Africa focused power development company, I advised on the bankability risks in the EPC and O&M agreements for a 100MW wind power plant in Kenya, which allowed the developer to put in place necessary measures and controls to mitigate the risks. I also led the structuring and evaluation of the tender for the appointment of an EPC and O&M contractor for a 65MW wind farm in Namibia, including evaluating and advising in connection with amended EPC contracts received from each of the bidders as well as other tender submissions.
I have also supported a developer of captive solar (and battery) power installations in Uganda and Rwanda to develop a bankable template EPC contract and power purchase agreement for use across its pipeline.
Outside of renewables, I have advised a project company on the EPC contract for a CNG plant and in Nigeria. As one of the shareholders was affiliated to the EPC contractor, my mandate was to ensure the construction contract was balanced with appropriate incentives so as to meet both a tight timetable and also best preserve the long term commercial relationship of the shareholders.
In my spare time I enjoy sports, trying new restaurants, movies and activities with my kids.
I carried out a bankability review of the EPC and O&M agreements for a 100MW wind farm in Kenya for an Africa focused power development company in connection with its contemplated acquisition of a minority shareholding in the project company.
SunPower Corporation: I supported the equity sale of a number of solar power generation plants in Italy, having an aggregate enterprise value in excess of EUR500mn, and including European Bond Deal of the Year 2010 (PFI awards).
I advised an Africa focused power development company on the EPC and O&M agreements for an 80MW peat fired power project in Rwanda. I also drafted and negotiated various sponsor level, loan and security documents and managed the registration and enforceability of offshore security.
