We were recently approached by a FTSE 25 company to assist with the outsourcing of certain software development services across Europe. This was a deal where failure was not an option – it was high value (over £1billion), politically and strategically critical, with Board level scrutiny. Get it wrong? Delays to the deal would kill the business case. Senior heads would roll – no doubt.
Following stakeholder engagement, we got to work, assembling a small partner-led team of lawyers to crack on with the contractual documents, working closely within our client's procurement team. We pulled in our best-in-class privacy lawyers to look at some of the data security and privacy issues. We liaised with our tax team, employment team and anti-bribery experts, to give best practice advice and input.
We worked with our client to develop bleeding edge incentivisation mechanisms, above and beyond the usual 'carrot and stick' provisions that, of course, were also in the contract.
Negotiations took place in early Spring and we came prepared. We have a large Group – one of the largest group of technology, outsourcing and privacy lawyers in Europe - and we pooled our knowledge of negotiating with these suppliers. We also made "Freedom of Information" requests to give us an edge.
We used advanced negotiation techniques to achieve a positive outcome. The resulting deal reflected a favourable risk profile for our client, but also set the winning bidder up to succeed.
The deal was completed on time and to budget.
