Following the British Parliament’s long drawn out rejection of the EU withdrawal agreement on 15 January and the developments taking place over the last few weeks, the path to Brexit is looking increasingly difficult and unpredictable.
There are obviously numerous legal and tax implications of Brexit.
For example, on the tax front, there is uncertainty regarding the application of various Community directives (e.g. the “parent-subsidiary” directive and the “interest & royaties” directive) designed to simplify obligations connected to flows of dividends, interest and royalties between EU companies, the regime governing international restructuring operations, and the potential exclusion of the United Kingdom from the Community Customs Code and the effects on Community VAT.
On the legal front, concerns centre particularly on the implications of UK jurisdiction clauses in bank and finance contracts and in financial derivatives, and in relation to regimes regulating financial and insurance intermediaries (‘passporting rights’).
As far as employment law is concerned, a focus point may be the hiring, transfer or posting of Italian, EU and non-EU workers from Italy to the United Kingdom and vice versa. Significant implications may also arise in the areas of international contracts, intellectual property and Community trademarks involving UK companies or Community companies operating in the UK.
Given these complexities, businesses and market operators need to consider the legal and tax consequences of the various potential scenarios (no deal, soft deal or hard deal) to enable them to understand the main features of the Brexit process and the related operational consequences.
The Workshop will therefore shine a spotlight on the United Kingdom’s divorce from the European Union, which will certainly have repercussions for the Italian economy, analysing the anticipated effects on our economic system, the risks and opportunities and the future of Italy-UK relations in general.
