David Cranfield, Partner, Corporate
I am a specialist in domestic and cross border corporate M&A transactions including transactions carried out under auction processes and working with investment banks. I have particular experience of cross border joint ventures in sectors including healthcare, automotive, financial services, construction and real estate, and I have over 25 years' experience of advising major international and domestic corporations, private equity funds and financial institutions.
I spent ten years of my career in Russia working for US, Asian, European and Russian clients on inward and outward investment projects in Russia and Central Europe, often using offshore structures. During that time I was top ranked in the Best M&A lawyers in Russia survey run by the leading Russian business paper, Kommersant. I have a detailed knowledge of Russian law as it relates to companies operating in that jurisdiction, and I speak conversational Russian.
I have advised UK and European banks on lending transactions both for M&A and real estate financings as well as corporate borrowers. I advised a leading central European bank on its buy out of debt from senior lenders and comprehensive debt and corporate restructuring under a $216,000,000 syndicated credit facility.
