Syndicated lending has had its fair share of ups and downs in recent times with liquidity crunches, challenges on pricing and new market participants. There remains an active, vibrant market both in the investment grade syndicated loan space and in the world of leveraged finance.
We advise arrangers, agents and lenders on the establishment of syndicated loans, syndicate members who accede to finance transactions at a later date and borrowers of syndicated facilities. We are proud to assist our clients in challenging and complex transactions and have a wide range of deal types on which we are instructed.
We are increasingly advising new entrants to the syndicated lending market, be they arrangers, participants, borrowers or agents. We are at the cutting edge of constantly changing perceptions of what is "market standard" wording in relation to issues such as sanctions, regulation and interest rate floors and we are regularly consulted by our clients on how they should tackle these issues in the face of syndicate disagreement.
- Acted for a German bank in connection with a series of syndicated hotel and other commercial real estate financings, on both primary documentation stage and secondary market aspects
- Acted for a Californian bank in connection with syndicated term and revolving loan facilities of up to $61m. The borrowers were six US technology companies, and the facilities were to be used by the borrowers for the purposes of acquiring shares in an English entity in order for the group of companies into the UK.
- Acted for a range of leading Nordic banks in connection with investment grade revolving credit backstop facilities including in relation to their refinancings and where applicable, consensual restructurings
- Acted for a UK listed borrower in connection with its syndicated revolving credit facility and complementary securitisation programme
