With expertise and experience ranging from large and complex domestic and cross-border transactions, including public company takeovers, through to smaller private company acquisitions and disposals, our approach is proactive and commercial.
Before we begin any transaction, we seek to understand the background and commercial imperatives. Throughout the transaction process, from advising on optimum deal structures through the due diligence process and negotiation to post-completion integration, we believe in keeping legal issues in perspective and focusing on our clients’ commercial objectives. This approach, combined with our sector knowledge, technical expertise and transactional experience, helps our clients complete their transactions on the best possible terms.
Transaction management is tailored to each client’s requirements and we provide a flexible, adaptable service. We put together cost-effective teams for all sizes of transaction, and where necessary our lawyers draw on support from specialist groups within the firm.
On cross-border matters, we work closely with our offices across Europe and other overseas lawyers, providing a seamless service taking full account of local issues, both legal and cultural. We can also advise on cross-border mergers under the European Directive 2005/56/EC and the creation of European Companies. We can act as lead or local counsel.
Notable deals / highlights
Advised JSC KazMunaiGas Exploration Production, one of the largest oil and gas producers in Kazakhstan, on a number of transactions including the acquisition of a 50% interest in Mangistau Investments for $330m with associated debt of $1.3 billion from the China Export-Import Bank, and the sale of its 49% indirect interest in JSC Karpovskiy Severniy (holder of an oil and gas exploration license in Kazakhstan) to MOL.
Advised long-standing client BBC Worldwide and the shareholders of Ragdoll on the £17.4m sale of their joint venture Ragdoll Worldwide to Canadian entertainment group DHX Media.
Acted for PolyTherics on its merger with Antitope, the leading provider of antibody engineering and immunogenicity screening services, to create an enlarged group with an extensive suite of services and technologies for the development of biopharmaceuticals.
Advised the Belgian rail freight group SNCB Logistics on the sale of three German logistics companies to the Austrian Felbermayr group.
Advised long-standing client Adeptra, a leader in cloud-based customer engagement and risk intervention solutions, on its sale to Fair Isaac Software Holdings, a leading provider of analytics and decision management technology, in a deal worth $115m.
- Advised in various inbound and outbound cross-border mergers (mainly involving UK and German entities) - also one of the first cross-border mergers into a UK LLP.
